1. Agreement to Terms

By accessing or using the Positron Flux website at positronflux.com (the "Website") or the Positron Flux software-as-a-service platform (the "Platform"), collectively referred to as the "Service," you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Positron Labs.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Positron Flux is a software delivery intelligence platform that helps engineering teams measure, understand, and systematically improve their delivery performance. The Service comprises:

• The Website: a publicly accessible marketing site providing information about Positron Flux, including a waitlist registration form.
• The Platform: a SaaS application (available to registered users) that integrates with third-party development tools to collect, analyse, and visualise software delivery metrics such as DORA metrics, cycle time, and deployment frequency.

3. Account Registration & Security

To access the Platform you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account details up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Service, other users' accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers) to access the Service without our prior written consent.
• Transmit any malware, viruses, or harmful code through the Service.
• Resell, sublicense, or redistribute the Service without authorisation.

5. Intellectual Property

The Service, including its design, text, graphics, logos, and software, is the property of Positron Labs or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6. User Content & Data

"User Content" means any data, text, configurations, or integrations you submit to the Platform. You retain ownership of your User Content. By submitting User Content you grant Positron Labs a limited, non-exclusive licence to process, store, and display it solely for the purpose of providing the Service to you.

We will handle your data in accordance with our Privacy Policy. You are responsible for ensuring you have the necessary rights and permissions to submit any data to the Platform, including data sourced from third-party integrations.

7. Payment Terms

Certain features of the Platform may require a paid subscription. Pricing, billing cycles, and payment terms will be presented to you at the time of purchase. Unless otherwise stated:

• Subscriptions renew automatically at the end of each billing cycle.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
• Refunds are provided only as required by applicable law or as described in the applicable subscription terms.
• We reserve the right to change pricing with 30 days' notice.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to access the Platform ceases immediately.

We will make commercially reasonable efforts to allow you to export your data before or promptly after termination, subject to applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Positron Labs and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) €100.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, be error-free, or that any defects will be corrected.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

13. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will notify you by email or by posting a prominent notice on the Website. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
